This Subscription Agreement (the "Agreement") is entered into as of the date of signature by and between:

Collectively referred to as the "Parties."

The subscription term (the "Term") for the Reservato Devices (the "Devices") shall commence on [Start Date] and shall continue for a minimum period of twelve (12) months (the "Initial Term"). This Agreement will automatically renew for additional one-month periods unless terminated by either Party in accordance with this Agreement.

• Initial Payment: The Customer agrees to make the first payment of [Amount] (the "Initial Payment") on or before the commencement of the subscription term.
• Monthly Payments: Following the Initial Payment, the Customer agrees to make eleven (11) monthly payments of [Amount] (the "Monthly Payment"). These payments are due on the last day of each subsequent month during the subscription term.

All payments shall be made via [Payment Method]. Late payments may incur additional fees, as outlined in Section 5 of this Agreement.

The Company agrees to provide the Customer with the following Reservato Devices:

The Customer agrees to use the Devices in accordance with the terms set forth in this Agreement and any associated user manuals or guides provided by the Company.

• The Devices remain the property of the Company throughout the subscription term.
• Upon termination or expiration of this Agreement, the Customer agrees to return the Devices to the Company in good working condition, normal wear and tear excepted, within [Number] days.

Failure to return the Devices, or returning them in damaged condition, may result in additional charges as outlined in Section 5.

• Late Payment Fees: If any Monthly Payment is not received by the due date, the Customer may incur a late fee of 5% of the outstanding payment, whichever is greater.
• Damaged Devices: The Customer shall be responsible for any damage to the Devices that exceeds normal wear and tear. In the event of such damage, the Customer agrees to pay the repair or replacement cost as determined by the Company.

This Agreement may be terminated by either Party upon thirty (30) days' written notice to the other Party. If the Customer terminates the Agreement before the end of the Initial Term, the Customer agrees to pay an early termination fee equal to  outstanding amount,

This Agreement shall be governed by and construed in accordance with the laws of United Kingdom without regard to its conflict of law principles.

This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations, and understandings, whether written or oral.

No amendment or modification of this Agreement shall be effective unless in writing and signed by both Parties.

If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, such invalidity or unenforceability shall not affect the remaining provisions of this Agreement, which shall remain in full force and effect.
